Introduction: www.taivas.co.in is an online portal, owned by Taivas Edutech Services and Consultants Private Limited, a private limited company incorporated in India, with the goal of empowering young minds through public speaking, knowledge, and personality development.
1. General
These terms and conditions ("Terms") govern your use of the services provided by Taivas Edutech Services and Consultants Private Limited ("Company") through the website https://www.taivas.co.in and other associated platforms (collectively referred to as the "Platform"). These Terms should be read in conjunction with the Privacy Policy available on the Platform, and any additional agreements you may enter into with the Company.By using the Platform, you ("User," "You," "Your") agree to be bound by these Terms. The Company and You will be collectively referred to as the "Parties.

The Company offers a platform where students can avail various educational services, including online classes, in-person boot camps, public speaking courses, and flexible session plans (the "Services").

The teachers on the Platform may either be employees of the Company or independent contractors ("Teachers").

By using the Platform, you agree to these Terms and to receive educational services as per the Company's rules and policies.
If You do not agree to these Terms, please do not use the Platform.
2. Definitions
"Courses" means educational programs or sessions offered through the Platform.
"Teacher" means a person onboarded onto the Platform to provide Teaching Services, either as an employee or an independent contractor.
"Teaching Content" includes all text, graphics, images, audio, video, software, and other materials provided by the Company or its affiliates for educational purposes.
"Services" refers to the educational programs and associated services provided via the Platform.
3. Scope of Services
The Platform allows You to access various educational services, including scheduling classes and attending educational programs conducted by Teachers. The Company uses reasonable efforts to connect You with a suitable Teacher based on your preferences and schedules.
The Company facilitates the provision of teaching services by independent contractors but does not directly provide teaching services. All services are rendered by the Teachers, and the Company acts solely as an intermediary for scheduling and payment facilitation.
If a Teacher becomes unavailable for any reason, the Company will use reasonable efforts to provide an alternative Teacher. In such cases, your agreement with the original Teacher will be terminated, and a new agreement with the replacement Teacher will be established. Payments will be adjusted accordingly.
4. User Registration and Account
To use the Platform, You are required to register and create an account. During registration, the Company may collect personally identifiable information, including but not limited to, your name, email address, contact details, and demographic information.
You agree to keep your registration details up to date. You are responsible for maintaining the confidentiality of your account login credentials and for all activities conducted under your account.
In the event You provide false information or engage in fraudulent activity, the Company reserves the right to suspend or terminate your account.
5. User Content
The Platform may allow users to post reviews, feedback, and other content ("User Content"). By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, publish, and display such content for the purposes of marketing, promotion, and quality control.
The Company reserves the right to remove any User Content that violates these Terms or is deemed inappropriate at its sole discretion. You must not provide false or misleading reviews or feedback.
6. Pricing and Payments
The Company offers subscription-based services on a monthly, quarterly, or half-yearly basis, with full upfront payment. All payments for the Services must be made through the designated payment gateway, Razorpay. Accepted payment methods include credit cards, debit cards, UPI, and bank transfers.
There are no refunds for any Services purchased. However, if You miss any sessions, the Company will offer additional classes as compensation.
You understand and agree that the Company collects payments on behalf of the Teachers and facilitates the transfer of funds to the Teachers for the services they provide.
7. Privacy and Security
The Company collects and processes personal information such as your name, contact details, payment information, participation statistics, school details, and other relevant information that helps improve the quality of Services provided.
All transactions made on the Platform are secure and protected by encryption. Your payment details are directly handled by the payment gateway and are not stored by the Company.
By using the Platform, You consent to the Company's use of your personal data in accordance with the Privacy Policy.
8. Licensing of Teaching Content
Subject to compliance with these Terms, the Company grants You a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and the Teaching Content for personal, non-commercial purposes. This license does not grant You the right to modify, distribute, or reproduce the content without express permission.
You acknowledge that the curriculum and Teaching Content provided by the Company is proprietary, and You are granted access solely for personal educational purposes.
9. Third-Party Services
The Platform integrates third-party services, such as Razorpay for payment processing and Microsoft Teams for conducting online classes. The Company is not responsible for any issues arising from the use of these third-party services. You must comply with the terms and conditions of the third-party services when using them.
10. No Warranties and Limitation of Liability
The Platform and its Services are provided on an "as is" basis without any warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not guarantee that the Services will meet your specific needs or that they will be uninterrupted, error-free, or secure.
The Company shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Platform, including but not limited to damages resulting from loss of data, loss of profits, or any other losses.
11. Dispute Resolution
All disputes arising out of or in connection with these Terms shall be resolved through a two-step process:
Step 1: Mediation – The Parties will first attempt to resolve the dispute through mediation by a neutral third-party mediator, mutually agreed upon by both Parties.
Step 2: Arbitration – If mediation fails, the dispute shall be referred to arbitration by a panel of three arbitrators, with each Party appointing one arbitrator and the two appointed arbitrators selecting a third arbitrator. The arbitration shall be held in Delhi, India, and the decision of the arbitrators shall be final and binding on both Parties.
12. Intellectual Property
All content on the Platform, including but not limited to, text, graphics, logos, images, and software, is the property of the Company or its licensors and is protected by intellectual property laws. You are not authorized to reproduce, modify, distribute, or otherwise exploit any content without the prior written consent of the Company.
13. Termination of Services
The Company reserves the right to terminate your access to the Platform and the Services at any time for violations of these Terms or for any other reason deemed appropriate by the Company. In the event of termination, You will no longer be able to access your account or any of the Services.
Any obligations or liabilities incurred before the termination date shall remain valid and enforceable.
14. Miscellaneous Provisions
Waiver: Any failure by the Company to enforce any provision of these Terms shall not constitute a waiver of the Company's right to enforce that provision.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Delhi.
15. Amendments
The Company reserves the right to amend these Terms at any time without prior notice. It is your responsibility to periodically review these Terms for any updates or changes. Continued use of the Platform constitutes your acceptance of the revised Terms.
